Teamate - TERMS OF USE

1. Introduction
Welcome to Teamate (the "App"), an AI-powered Slack bot provided by Teamate AI ("Company," "we," "us," or "our"). These Terms of Use (the "Terms") govern your access to and use of the App, any accompanying websites or dashboards, and any related services (collectively, the "Services"). By installing, authorizing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility & Authority
You may use the Services only if (a) you are at least 18 years old—or the age of majority in your jurisdiction, whichever is higher—or, if you are between 13 and 18, you have reviewed these Terms with a parent or legal guardian who agrees to them on your behalf; and (b) you have the authority to bind your employer or other entity on whose behalf you are installing the App. By proceeding, you represent and warrant that you meet these requirements.
3. Third-Party Services
The App operates inside Slack and may interact with various third-party services or APIs (including, but not limited to, cloud-storage, productivity, and data-analysis platforms) that you choose to enable (collectively, "Third-Party Services"). Your use of any Third-Party Service is governed solely by the terms and policies of that service. We do not control, endorse, or assume any responsibility for Third-Party Services, and your interactions with them are at your own risk.
4. License & Acceptable Use
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You must not:
- Reverse engineer, decompile, or attempt to extract the source code of the App;
- Upload malicious code or interfere with networks or users;
- Use the Services to create, train, or improve competing AI models;
- Use the Services in violation of law or third-party rights.
5. Intellectual Property
We and our licensors own all right, title, and interest in the Services, including all software, documentation, and trademarks. These Terms do not transfer any intellectual-property rights to you.
6. User Content; Metadata Only
The App processes Slack messages transiently to generate AI responses.We do not store or persist message content. We retain only minimal technical metadata (e.g., channel ID, user ID hash, timestamps, usage analytics) necessary for operation, debugging, billing, and security, as described in the Privacy Policy.
7. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, EITHER PARTY'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED ONE THOUSAND U.S. DOLLARS (US $1,000) OR THE AMOUNT YOU PAID US TO USE THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company from any claims, damages, and expenses arising out of your (a) misuse of the Services, (b) violation of these Terms, or (c) violation of any law or third-party right.
10. Suspension & Termination
We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law or platform policies. Upon termination, your license automatically ends.
11. Modifications
We may update these Terms by posting a revised version and changing the "Last Updated" date. Material changes will take effect 30 days after posting. Your continued use after that constitutes acceptance.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in King County, Washington, and you and the Company consent to personal jurisdiction and venue in those courts.
13. Fees & Payment
The Services are currently offered free of charge during our public beta. If we introduce paid plans, the applicable fees, billing terms, and payment methods will be described on our pricing page or in an order form presented to you for acceptance. You are responsible for all taxes associated with your use of the Services unless we are required by law to collect them.
