Terms of Use

These Terms of Use (“Terms”) govern access to and use of Teamate’s website, applications, and related services (collectively, the “Services”) provided by Teamate Inc. (“Teamate,” “Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Definitions

  • Customer: The organization that enables the Services for its team.
  • Authorized User: An individual authorized by a Customer to use the Services.
  • Connected Workspaces: Third-party platforms and workspaces you connect to Teamate (e.g., Slack, Zoom, GitHub, and other supported services).
  • Customer Data: Data from Connected Workspaces and other data submitted to the Services by or on behalf of a Customer, including messages, meeting artifacts, tickets, code activity, documents, and related metadata.
  • Organizational Memory: Teamate’s structured store of derived representations of Customer Data (e.g., embeddings/vector representations and associated metadata) used to provide context, insights, and actions.
  • Output: Responses, summaries, suggestions, drafts, insights, or other results generated by the Services.

2. Eligibility and Authority

You may use the Services only if you are legally able to form a binding contract where you live. If you use the Services on behalf of a Customer or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

3. Customer Administration

If you are a Customer administrator, you are responsible for:

  • configuring Connected Workspaces and permissions;
  • controlling which users may access the Services; and
  • ensuring Authorized Users comply with these Terms.

Teamate may rely on Customer administrators’ instructions and configurations.

4. Connected Workspaces and Third-Party Services

The Services integrate with Connected Workspaces and may interoperate with other third-party products, services, or APIs (“Third-Party Services”). Your use of Third-Party Services is governed by their own terms and policies. Teamate does not control Third-Party Services and is not responsible for them.

5. License to Use the Services

Subject to these Terms, Teamate grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

6. Customer Data, Organizational Memory, and Permissions

6.1 Ownership

As between Teamate and Customer, Customer retains ownership of Customer Data. Teamate retains ownership of the Services and all Teamate technology.

6.2 Permissioned Access

Teamate is designed to respect access controls from Connected Workspaces. The Services are intended to process and present Customer Data only within the scope of permissions and configurations provided by the Customer and Third-Party Services.

6.3 Processing and Storage in Organizational Memory

To provide the Services, Teamate may:

  • process Customer Data to generate Output;
  • create and store encrypted embeddings (vector representations) and supporting metadata (e.g., timestamps, source references, relationships) in Organizational Memory; and
  • apply role-based access control (RBAC) and least-privilege access to Organizational Memory.

You may configure retention (where available), disconnect sources, or request deletion as described in our Privacy Policy.

6.4 “Bring Your Memory” and VPC (Enterprise)

Certain enterprise plans may support customer-managed memory (“Bring Your Memory”), where Organizational Memory is stored in Customer-controlled infrastructure and/or Teamate is deployed in a Customer VPC. In these configurations, Teamate’s storage of Customer Data may be reduced or limited to operational data necessary to run and secure the Services, depending on the plan and deployment.

7. AI and Output Disclaimer

The Services may use machine learning and generative AI. Output may be inaccurate, incomplete, or inappropriate and should be reviewed before use, especially for decisions, customer communications, legal/compliance matters, or sensitive actions. Customers are responsible for configuring approvals and using human review where appropriate.

8. Acceptable Use

You will not (and will not allow others to):

  • reverse engineer, decompile, or attempt to extract source code from the Services;
  • interfere with or disrupt the Services or bypass security controls;
  • use the Services to violate laws or third-party rights;
  • upload malware or attempt unauthorized access to systems or data;
  • use the Services to create or train competing models using Teamate’s non-public technology; or
  • misuse the Services to access content you are not authorized to access.

9. Fees, Trials, and Taxes

The Services may be offered under free, trial, beta, or paid plans. Pricing and billing terms will be shown on our website or in an order form. You are responsible for applicable taxes unless Teamate is required to collect them.

10. Intellectual Property and Feedback

Teamate and its licensors own all rights in the Services, including software, interfaces, and documentation. If you provide feedback or suggestions, you grant Teamate a royalty-free, worldwide, transferable license to use it without restriction.

11. Confidentiality

Each party may receive the other party’s confidential information. The receiving party will use reasonable care to protect it and use it only to perform under these Terms. This section does not restrict disclosure required by law.

12. Suspension and Termination

Teamate may suspend or terminate access to the Services if we reasonably believe there is a violation of these Terms, a security risk, required legal compliance, or a violation of Third-Party Service policies. Upon termination, your license ends.

13. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMATE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMATE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) US $1,000 OR (B) THE AMOUNTS PAID BY CUSTOMER FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Teamate from claims arising out of your misuse of the Services or violation of these Terms or third-party rights.

16. Changes to These Terms

We may update these Terms by posting a revised version and updating the “Last Updated” date. Material changes will become effective 30 days after posting (unless required sooner for legal/security reasons). Continued use after the effective date means you accept the changes.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules.
